Our Expertise

Our Energy & Projects team is adept in the provision of expert legal services to participants such as major oil and gas companies, refiners and petrochemical companies, project contractors and sponsors, service and equipment companies government agencies, foreign and local investors and financial institutions at every stage of the value chain in the upstream, midstream, LNG, petrochemicals and downstream sectors.

 

Power

Following Nigeria’s 2013 power-sector reforms, there are increased opportunities for private-sector participation in the electricity market, and JEE‘s Energy & Project Practice is at the epicentre of the action.  

We provide legal advisory services to several companies operating within the Nigerian electricity market – including power-generating companies, off-takers, and investors – for which we draft and review the transaction agreements including but not limited to: 

  • Power Purchase Agreements;  

  • Grid Connection Agreements; and 

  • Use of Network Agreements;  

and other ancillary agreements for power plants, including:  

  • Feedstock Supply Agreements (FSAs); and  

  • Engineering Procurement Contracts (EPCs).

Labour & Employment 

Our services in relation to the energy industry includes compliance with labour employment, compensation legislation, and the preparation and review of contracts of employment, collective bargaining agreements, and employee handbooks. We specialise in advising, structuring and preparing employees’ share-purchase and option schemes, and also regularly advise multinational energy clients on strategies in relation to trade union issues. 

 

Tax 

The Energy and Projects team routinely provides compliance and tax advisory services to major domestic and international companies in the energy industry. We offer taxation expertise in relation to corporate, petroleum profit, value-added, and capital gains taxation, tax liabilities of expatriate employees, and customs and excise duties. We also enable local and offshore companies in the energy industry seeking re-organisation to achieve greater tax efficiency and advise multilateral institutions seeking tax exemption certifications.
