Our Partner, Adekunle Soyibo, and our Associate, Linda Okwe, respectively authored the article titled “Digital Taxation: Risks and Opportunities for Portfolio Tech Companies.”

In this article, we highlight that the enactment of the Nigeria Tax Act, 2025 (NTA) marks a significant shift in the taxation of economic activities within the digital ecosystem. The legislation brings the business activities of portfolio technology and digital companies clearly within the Nigerian tax net, while also providing much-needed clarity in previously grey areas of digital taxation.

The NTA expands value-added tax (VAT) obligations for non-resident suppliers, introduces a broader and more enforceable Significant Economic Presence (SEP) test, and clarifies the taxation of software-as-a-service (SaaS), cloud computing services, digital advertising, and other remote and digitally delivered services. The article also highlights important incentives introduced under the Act, including tax exemptions on gains from the disposal of assets in labelled startups, as well as clearer regulatory treatment of digital and virtual assets.
