Senior Associate

Nkem is a Senior Associate in the Corporate Commercial Department of the Firm, where she leads the General Commercial Team.

About

Nkem is involved in several commercial transactions, highly skilled and proficient at drafting, negotiation and reviewing of commercial agreements; as well as providing general legal advisory on commercial issues affecting clients’ businesses.

She was among the team that advised on the modalities for the rebranding of The Nigerian Stock Exchange’s market, products and indices to NGX Group of Companies’ brands, post- demutualization. She also was a part of the team that advised NGX Group of Companies on its operational plans through the preparation of relevant contracts for the transfer of assets and liabilities between the emerging companies; preparation of service level agreements for the provision of shared services and the assignment of contracts during the demutualization and restructuring of Nigerian Exchange Group Plc.

Her expertise includes negotiation, drafting and reviewing of Commercial Contracts; Real Estate Contracts including Contract of Sale, Offer Letters, Facility Management Agreements, Dredging Contracts, etc.; Joint Venture Agreements; Partnership and Collaboration Agreements, Consultancy Agreements; Global Market Data License Agreements; Redistributor and Reseller Agreements; End User License Agreements, Software License Agreements, Master Services Agreements; Professional Services Agreements; Service Level Agreements; Material Transfer Agreements and Complex Intellectual Property and Technology Contracts.

She was the secretary of the Legal Committee of Africa Exchanges Linkage Project (AELP) until May 2024 and a member of the Reconstituted Policy and Regulatory Working Group of the Africa Securities Exchange Association (ASEA).

Nkem was a two-time finalist for the “In-House Rising Star” Category of the African Legal Awards hosted by Law.com International, the Corporate Counsel Association of South Africa (CCASA) and Africa Legal in 2020 and 2021; and she won the ESQ Legal “40 Under 40” Rising Star Award in November 2022.
